Contractual framework for the services of V3R Vialid3r (SAS) for professional clients (B2B).

Purpose and scope

These terms govern the sale of the services of V3R Vialid3r, SAS (RCS de Paris 990 266 918, 26 rue Bosquet, 75007 Paris, France): brand, web, marketing, software, artificial intelligence and the Miembro Vialid3r membership.

The services are addressed exclusively to professionals and companies (B2B). These terms are supplemented by the fixed-scope proposal signed by the client, which prevails in case of divergence.

Proposals and prices

Each project is formalized in a fixed-scope proposal, with scope, price and committed dates. Public reference prices are: corporate website desde 8.900 €, online store + SaaS desde 13.900 €, custom software depending on scope, and founder consulting at 300 €/h.

Unless stated otherwise, proposals remain valid for 30 days from issuance.

Formation of the contract

The contract is formed upon the client's signature of the proposal (handwritten or electronic). Work start is conditional, where applicable, on the first payment agreed in the proposal.

Invoicing and payment

Payment follows the arrangement agreed in the proposal: 100% on signature, or 50% on signature and 50% on delivery. Invoices are issued in euros and paid by bank transfer or via PayPal. Other payment methods may be agreed between the parties.

In case of late payment between professionals, under French law, late-payment interest applies at the European Central Bank rate plus 10 points, together with the statutory fixed recovery indemnity (art. L441-10 of the French Commercial Code).

Cross-border taxation

For B2B services supplied from France to clients established in another EU Member State, VAT is reverse-charged by the recipient in accordance with art. 196, Directive 2006/112/EC. Each invoice carries the corresponding mention.

Deadlines, delivery and guarantees

Committed dates appear in the proposal. Vialid3r's contractual guarantees — fixed-scope proposal, dates in writing, verifiable performance — form part of the contract and are set out in writing.

Delivery is deemed to occur upon go-live or upon making available the deliverables defined in the proposal. The client has a 15-day acceptance period to raise reservations; after this period without objection, delivery is deemed compliant.

Miembro Vialid3r membership (maintenance and evolution)

Maintenance and continuous evolution are provided by subscription, according to the services contracted and the chosen tier, with an initial mutual commitment of 12 months. After the initial period, the subscription renews for successive periods unless either party gives 60 days' notice.

The subscription may be paid via a monthly invoice issued by Vialid3r, by bank transfer or via PayPal. The subscription includes the services described in the proposal (managed hosting, support, evolutions by tier). Non-payment entitles Vialid3r, after formal notice, to suspend the associated services.

Client data and content

Your data, always yours: the brand, data and content contributed by the client or generated by their activity belong to the client and are exportable in standard formats upon simple request. The technology platform is operated and evolved by Vialid3r as part of the service.

Vialid3r applies no commission on the client's sales and does not use their data for purposes other than providing the service.

Liability

Vialid3r's total liability for direct damages is limited to the amount actually paid by the client for the service giving rise to the claim during the preceding 12 months. Indirect damages (loss of profit, of data unrelated to the service, or of opportunity) are excluded.

Nothing in these terms limits liability that cannot legally be limited.

Governing law and jurisdiction

These terms are governed by French law. For any dispute between professionals, failing prior amicable resolution, the courts of Paris shall have jurisdiction.
